Terms of Service
1. Acceptance of these Terms
These Terms of Service (the "Terms") form a legally binding agreement between you (the person or business using the Service, referred to as "you", "your" or the "Customer") and Mr. Milan Jethva, an individual carrying on business as a sole proprietorship under the trade name "eCOMeX" (also styled "eCOMeX AI"), having his place of business at eCOMeX AI, Ahmedabad – 380008, Gujarat, India (referred to as "eCOMeX", "we", "us" or "our").
These Terms govern your access to and use of the eCOMeX web application available at https://ecomex.app together with all related features, tools and content (collectively, the "Platform" or the "Service"). By creating an account, accessing or using the Service, or by clicking to accept these Terms, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, our Refund & Cancellation Policy and any other policies referenced herein, each of which is incorporated into these Terms by reference. These Terms, together with those policies, also constitute an electronic record and an electronic agreement under the Information Technology Act, 2000 and do not require any physical or digital signature to be binding.
If you do not agree with these Terms, you must not access or use the Service. We may issue additional guidelines, rules or supplementary terms for specific features from time to time; where they apply, they form part of these Terms.
2. Eligibility and Authority
To use the Service, you must:
- be at least eighteen (18) years of age and competent to enter into a binding contract under the Indian Contract Act, 1872;
- where you use the Service on behalf of a business, firm, company or other entity, have the full right, power and authority to bind that entity to these Terms, in which case "you" and "Customer" refer to that entity; and
- comply at all times with Amazon's own terms of service, programme policies, the Amazon Services Business Solutions Agreement, the Amazon Acceptable Use Policy and the Amazon Data Protection Policy, as well as all applicable laws and regulations.
You are solely responsible for ensuring that your use of the Service, including your connection of any Amazon account and your processing of any data through the Service, is permitted under your agreements with Amazon and under applicable law. The Service is not directed to, and may not be used by, persons under the age of 18, and we do not knowingly permit any person under the age of 18 to create an account or use the Service.
3. Description of the Service
eCOMeX is a multi-tenant, AI-powered software-as-a-service web application for Amazon sellers and their teams. Subject to these Terms, the Service enables you to, among other things:
- ingest, validate, organise, store and analyse your own Amazon business data, including sales, orders, inventory, advertising, settlements, returns and Brand Analytics data;
- generate reports, analytics and insights, including a monthly profit-and-loss statement;
- plan shipments and purchases, and manage tasks, approvals and work-updates;
- draft Amazon seller-support replies and product listing copy; and
- interact with an in-app artificial-intelligence assistant named "Juno" and other AI-powered features.
When you sign up, you create a Workspace. Each Amazon store is treated as its own Workspace, and data is isolated per Workspace. You may import data into a Workspace by (a) uploading files you export from Amazon Seller Central or Amazon Advertising; (b) optionally connecting your own Amazon account through your authorised Amazon Selling Partner API (SP-API) and Amazon Advertising API connection, so that we pull data only at your direction; and (c) typing data directly into the Service.
You acknowledge that data imported from Amazon, including Amazon "Order Reports", may contain Amazon customer/buyer personal information (such as names, shipping addresses and contact details). We process such information strictly as part of, and solely in order to provide, the service you have requested, in the manner described in our Privacy Policy and in compliance with the Amazon Acceptable Use Policy and the Amazon Data Protection Policy.
We may add, modify, suspend or discontinue any feature, function or part of the Service at any time, with or without notice, provided that we will use reasonable efforts to avoid material adverse impact to paying Customers during an active billing cycle.
4. Accounts, Workspaces and Your Responsibilities
You must provide accurate, current and complete information when you register and keep that information up to date. You are responsible for all activity that occurs under your account and within your Workspaces, including the activity of users you invite, add or grant permissions to.
You agree to:
- keep your login credentials confidential, choose a strong password, and not share your credentials with unauthorised persons;
- manage roles and permissions within your Workspace responsibly, granting access only to persons authorised to view or process the relevant data, on a need-to-know basis;
- notify us promptly at support@ecomex.app of any actual or suspected unauthorised access to or use of your account; and
- ensure that any data you upload, connect or enter is accurate and that you have all necessary rights, consents and authority to process it through the Service, including any Amazon customer/buyer personal information contained in Amazon "Order Reports".
Passwords are stored by us only as a salted hash. You acknowledge that you, and not eCOMeX, are responsible for the consequences of any unauthorised use of your account arising from your failure to safeguard your credentials.
5. Free Trial, Subscriptions and Fees
We currently offer a sixty (60) day free trial, for which no payment card is required. We reserve the right to modify or discontinue the free trial at any time for future sign-ups.
Paid billing is not yet live on the Platform. When paid subscriptions become available, the following will apply:
- subscription fees will be billed in advance for each billing cycle (for example, monthly or annually, as selected at the time of purchase);
- fees, applicable taxes, the billing currency, billing cycles and any usage-based or AI-credit charges will be as displayed clearly on the Platform or in your order at the time of purchase, before you confirm your purchase;
- payments will be processed by a third-party PCI-DSS-compliant payment processor; eCOMeX will not store your full card numbers; and
- you authorise us and our payment processor to charge the applicable fees to your selected payment method for each renewing billing cycle until you cancel.
You are responsible for all applicable taxes, duties and levies (including Goods and Services Tax, where applicable) other than taxes based on our net income.
6. No Refunds; Cancellation
Except where a refund is expressly required by applicable law, all fees are non-refundable once a billing cycle has begun. You will not receive a refund or credit for partial billing periods, unused portions of a subscription, downgrades, or periods during which your account remains open but unused.
You may cancel your subscription at any time to stop future billing. Cancellation takes effect at the end of your then-current billing cycle, and you will retain access to paid features until that cycle ends; we will not bill you for subsequent cycles after a valid cancellation. The free trial may be cancelled at any time before it converts to a paid subscription, at no charge. For full details on refunds and cancellation, please see our Refund & Cancellation Policy.
7. Acceptable Use
You agree that you will not, and will not permit any user or third party to:
- use the Service for any unlawful, fraudulent or unauthorised purpose, or in violation of any applicable law, regulation or third-party right;
- infringe, misappropriate or violate the intellectual-property, privacy, publicity or other rights of Amazon, eCOMeX or any third party;
- reverse engineer, decompile, disassemble, or attempt to derive the source code, structure or underlying ideas of the Platform, except to the limited extent such restriction is expressly prohibited by applicable law;
- scrape, harvest, crawl or use automated means to access the Service other than through interfaces we expressly provide; overload, flood, or interfere with the integrity or performance of the Service or its infrastructure; or circumvent, disable or attempt to bypass any usage limits, rate limits, security measures, tenant-isolation controls or access controls;
- upload, transmit or store any content that is unlawful, defamatory, obscene, harmful to a child, invasive of another's privacy, malicious, or that contains viruses, malware or other harmful code;
- attempt to access any Workspace, account or data that is not yours, or otherwise probe, scan or test the vulnerability of the Service without our prior written authorisation;
- sell, license, distribute, transfer or otherwise make available any Amazon Information obtained through the Service to any third party, or use it for any purpose other than providing your own requested service;
- resell, sublicense, rent, lease or otherwise make the Service available to any third party except as expressly permitted under these Terms; or
- use the Service in any manner that violates Amazon's policies, the Amazon Acceptable Use Policy, the Amazon Data Protection Policy or your agreements with Amazon, or in any way that could cause eCOMeX to be in breach of those policies.
We may investigate any suspected violation and may suspend or terminate access in accordance with Section 17.
8. Customer Data and Ownership
As between you and eCOMeX, you own all data, files, content and information that you upload, connect or enter into the Service, including data imported from your Amazon account and any Amazon customer/buyer personal information contained in it (collectively, "Customer Data"). We do not claim ownership of your Customer Data, and we do not sell your Customer Data or any Amazon Information.
You grant eCOMeX a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, process, analyse and display Customer Data solely as necessary to provide, maintain, secure and support the Service for you, to generate the reports, insights and AI outputs you request, and to comply with applicable law. We use Amazon Information solely to provide you the service you have requested, on a least-privilege, need-to-know basis, and we will retain and delete such information in line with our Privacy Policy and the Amazon Data Protection Policy. This licence is granted for the duration of your use of the Service and ends when Customer Data is deleted or anonymised in accordance with our Privacy Policy, except to the extent retention is required by law.
You represent and warrant that you have all rights, consents and authority necessary to provide the Customer Data to us and to permit the processing described in these Terms and our Privacy Policy, and that such provision and processing will not violate any law or third-party right. Our handling of personal data, including Amazon buyer personal information, our data-retention periods, our security measures and the rights of data principals under the Digital Personal Data Protection Act, 2023 are described in our Privacy Policy.
9. AI Features and Disclaimer
The Service includes AI-powered features, including the assistant "Juno", which generate reports, narratives, suggestions, drafts and answers. To provide these features, relevant Workspace data — or, for some features, only column header names or pre-aggregated figures (and never raw values) — may be sent to third-party AI model providers for processing, as described in our Privacy Policy. Under the applicable provider terms, these providers do not use eCOMeX customers' submitted data to train their models.
You acknowledge and agree that:
- AI outputs are generated automatically and are provided for informational and productivity purposes only;
- AI outputs may be inaccurate, incomplete, outdated or otherwise erroneous, and may not reflect your actual business position;
- AI outputs do not constitute, and must not be relied upon as, professional, financial, tax, legal, accounting or other advice; and
- you are solely responsible for reviewing and verifying all AI outputs, including any numbers, figures, drafts and recommendations, before relying upon or acting on them, and for any decisions you make based on them.
We make no warranty as to the accuracy, reliability or fitness of any AI output.
10. Third-Party Services and Sub-Processors
The Service interoperates with third-party services, including Amazon (through the SP-API and Amazon Advertising API) and third-party AI model providers, and relies on third-party sub-processors to operate. Your use of any third-party service is governed by that third party's own terms and policies, and you are responsible for complying with them. We are not responsible for the availability, accuracy, acts or omissions of any third-party service, and any data you obtain from or transmit to a third-party service is subject to that third party's terms. A current list of the sub-processors we use, including those that may process data outside India, and the safeguards applicable to any such cross-border transfer under the Digital Personal Data Protection Act, 2023, is set out in our Privacy Policy.
11. Intellectual Property
The Platform and the Service, including all software, source code, designs, user interfaces, text, graphics, logos, the "eCOMeX" and "Juno" names and marks, documentation, and all other materials (excluding Customer Data), and all intellectual-property rights in them, are and shall remain the exclusive property of eCOMeX or its licensors. Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal business purposes during the term of these Terms. No rights are granted to you except as expressly set out in these Terms. You must not remove, obscure or alter any proprietary notices on the Service.
If you provide us with feedback, suggestions or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or obligation to you.
12. Confidentiality
Each party may have access to non-public information of the other party that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). The receiving party will use the disclosing party's Confidential Information only to perform its obligations and exercise its rights under these Terms, will protect it using at least reasonable care, and will not disclose it to third parties except to its personnel and sub-processors who need to know it and who are bound by confidentiality obligations no less protective than these. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was lawfully known without restriction before disclosure, or is independently developed without use of the disclosing party's Confidential Information. This Section does not limit our processing of Customer Data as described in these Terms and our Privacy Policy, nor disclosures required by law.
13. Service Availability and "AS IS" Disclaimer
We strive to keep the Service available and reliable, but we do not guarantee that the Service will be uninterrupted, error-free, secure, or free from delays, defects or data loss. The Service may be unavailable from time to time due to maintenance, upgrades, third-party failures or factors beyond our control.
To the maximum extent permitted by applicable law, the Service, including all AI features and outputs, is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title and non-infringement. We do not warrant that the Service will meet your requirements or that any results, reports or insights obtained through the Service will be accurate or reliable.
14. Limitation of Liability
To the maximum extent permitted by applicable law:
- in no event will eCOMeX be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, goodwill, business, data, or anticipated savings, arising out of or in connection with these Terms or the Service, whether based on contract, tort (including negligence), strict liability or any other theory, and whether or not we have been advised of the possibility of such damages; and
- eCOMeX's total aggregate liability arising out of or in connection with these Terms or the Service, in any twelve (12) month period, will not exceed the total amount of fees actually paid by you to eCOMeX for the Service during that twelve (12) month period immediately preceding the event giving rise to the claim, or, where no fees have been paid, one thousand Indian Rupees (INR 1,000).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. The limitations in this Section apply notwithstanding any failure of essential purpose of any limited remedy.
15. Indemnity
You agree to indemnify, defend and hold harmless eCOMeX, Mr. Milan Jethva, and his personnel and sub-processors, from and against any and all claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your Customer Data, including any claim that it infringes or violates the rights of any person or that its processing through the Service was not authorised; (b) your use of, or inability to control the use of, the Service by you or your users; (c) your breach of these Terms or of any applicable law, including Amazon's policies and agreements; or (d) your violation of any third-party right. We will notify you of any such claim and may, at our option, participate in the defence with counsel of our choice at our own expense.
16. Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access to all or part of the Service, with or without notice, if: (a) you breach these Terms, including the Acceptable Use provisions; (b) you fail to pay any fees when due (once paid billing is live); (c) we reasonably believe your use poses a security, legal or reputational risk, or violates Amazon's policies; or (d) we are required to do so by law or by a third-party service on which the Service depends. Where reasonable and lawful, we will give you notice and an opportunity to cure before suspension or termination.
Effect of termination. Upon termination or expiry of your account: (i) your right to access and use the Service ceases immediately; (ii) for a reasonable period before deletion, and subject to the Service being operational, you may export your Customer Data using the export tools we provide; and (iii) thereafter, your Customer Data and personal data will be deleted or irreversibly anonymised within a reasonable period in accordance with our Privacy Policy, except where retention is required by law. Sections relating to Customer Data ownership, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, governing law and any provisions that by their nature should survive will survive termination.
17. Force Majeure
eCOMeX will not be liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, governmental action, changes in law, failures of the internet, telecommunications, power, cloud infrastructure or third-party services, or failures or acts of any sub-processor or third party (including Amazon and AI providers).
18. Changes to these Terms
We may update or modify these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, take reasonable steps to notify you (for example, by email or an in-app notice). The updated Terms will become effective on the date stated. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
19. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of India. You and eCOMeX irrevocably submit to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat, India.
20. Grievance Redressal and Grievance Officer
In accordance with the Information Technology Act, 2000 and the rules made thereunder (including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021), the Consumer Protection (E-Commerce) Rules, 2020, and the Digital Personal Data Protection Act, 2023, you may raise any grievance regarding the Service, any content, or the processing of your personal data with our Grievance Officer:

The Grievance Officer will acknowledge your grievance within forty-eight (48) hours of receipt and will endeavour to redress it within one (1) month from the date of receipt, or within such shorter timelines as may be prescribed under applicable law. For data-protection and privacy matters, you may also write to us at privacy@ecomex.app; our Privacy Policy explains your rights as a data principal under the Digital Personal Data Protection Act, 2023 (including the rights to access, correction, completion, updating, erasure, nomination and withdrawal of consent), how to exercise them, and your right to complain to the Data Protection Board of India if your grievance is not satisfactorily resolved.
21. Not Affiliated with Amazon
eCOMeX is an independent service and is not affiliated with, sponsored by, or endorsed by Amazon. "Amazon", "Amazon Seller Central", "Amazon Advertising" and related marks are the property of Amazon.com, Inc. or its affiliates. Your relationship with Amazon is governed solely by your agreements with Amazon, and you remain responsible for complying with all Amazon terms and policies.
22. General
These Terms, together with the Privacy Policy, the Refund & Cancellation Policy and any supplementary terms, constitute the entire agreement between you and eCOMeX regarding the Service and supersede all prior agreements and understandings on that subject. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition or sale of assets. There are no third-party beneficiaries to these Terms.
